1. Acceptance of terms

By accessing and using the website and platform of Denovionyx S.R.L. (hereinafter, "Denovionyx" or "the Platform"), you accept these Terms and Conditions in their entirety. If you do not agree with any part of these terms, we request that you do not use our services. Continued use of the platform after any modification of these terms constitutes your acceptance of said changes.

2. About Denovionyx

Denovionyx S.R.L. is a limited liability company incorporated under the laws of the Argentine Republic, with registered address at Av. del Libertador 6350, Floor 8, Office B, C1428ARF, City of Buenos Aires. Tax ID (CUIT): 30-71845629-3. Registered with the General Inspection of Justice under No. 17,482/2021. Registered with the National Securities Commission through General Resolution No. 956/2023. Denovionyx operates as a real estate crowdlending platform, facilitating the connection between investors and real estate project developers.

3. Platform services

Denovionyx offers a digital platform that allows users to participate in real estate crowdlending projects. Services include: access to detailed information about real estate projects available for investment, tools to manage and track participations, periodic communications about project progress, and a support channel for inquiries and assistance. Denovionyx acts as a technological intermediary and does not guarantee the profitability of any investment.

4. User eligibility

To use Denovionyx's services, you must: be over 18 years of age, have legal capacity to enter into binding contracts under the laws of the Argentine Republic, provide truthful, complete, and up-to-date information during the registration process, reside in the Argentine Republic or comply with applicable regulations for foreign investors, and not be subject to economic or financial sanctions by national or international organizations.

5. Registration and account

When creating an account on Denovionyx, you commit to providing accurate and complete information, maintaining the security of your access credentials, immediately notifying any unauthorized use of your account, and being responsible for all activities carried out from your account. Denovionyx reserves the right to suspend or cancel accounts that violate these terms or that present suspicious activity.

6. Investment process

Participation in crowdlending projects through Denovionyx is subject to the specific conditions of each project, including minimum participation amounts, estimated execution and return timelines, projected profitability (not guaranteed), and risks associated with the real estate project and market. Each investment is binding once confirmed and is subject to the particular terms of the corresponding project.

7. Risks and warnings

Real estate crowdlending involves inherent risks. Denovionyx warns that: investments are not guaranteed and there is a possibility of partial or total loss of invested capital, past returns do not guarantee future results, project timelines may vary due to external factors such as weather conditions, government permits, or changes in the real estate market, investment liquidity is limited and it may not be possible to recover capital before project completion, and macroeconomic and regulatory conditions may affect investment performance.

8. Fees and commissions

Denovionyx may charge commissions for the use of its services. Applicable fees will be transparently communicated before the confirmation of each investment. Denovionyx reserves the right to modify its commission structure, notifying users at least 30 days in advance.

9. Intellectual property

All content on the Denovionyx website, including but not limited to texts, graphics, logos, images, software, and design, is protected by the intellectual property laws of the Argentine Republic and international treaties. Reproduction, distribution, modification, or unauthorized use of any content without the prior written consent of Denovionyx is prohibited.

10. Limitation of liability

Denovionyx shall not be liable for: losses arising from investment decisions made by users, service interruptions due to force majeure, scheduled maintenance, or technical problems beyond our control, indirect, incidental, or consequential damages arising from the use of the platform, actions or omissions of real estate developers or third parties involved in projects, or the accuracy of information provided by project developers.

11. Termination

You may request the cancellation of your account at any time by contacting info@denovionyx.com. Account cancellation does not affect pending obligations arising from active investments. Denovionyx may suspend or cancel your account if you violate these terms, provide false information, engage in fraudulent or illegal activities, or fail to complete required identity verification processes.

12. Governing law

These Terms and Conditions are governed by the laws of the Argentine Republic. Any dispute arising from or related to these terms shall be submitted to the jurisdiction of the Ordinary Courts of the City of Buenos Aires, waiving any other jurisdiction that may apply.

13. Dispute resolution

Before initiating any judicial proceedings, the parties commit to attempting to resolve the dispute amicably within a period of 30 days. In the event of failing to reach an agreement, either party may submit the dispute to mandatory mediation under Law No. 26,589 and, failing that, to the competent courts mentioned in the previous clause.

14. Amendments

Denovionyx reserves the right to modify these Terms and Conditions at any time. Modifications will take effect from the moment of their publication on the platform. Registered users will be notified of substantial changes by email at least 15 days in advance. Continued use of the platform after the modifications constitutes acceptance of the new terms.
